Tax Counseling and Compliance Work


Including Documenting Internal Revenue Code Section 1031 Exchanges, Corporate Reorganizations, Strategies to Minimize Local Taxation and Representation of Parties Before Local Property Tax Authorities and the Internal Revenue Service, and Estate Planning

We try to keep taxes in mind with everything we do, though we are not pure tax practitioners. Rather, we have nodules of experience that pertain to the transactions we see, such as expertise in Internal Revenue Code Section 1031 compliance, which has grown out of our real estate work. Similarly, we have experience with the tax consequences of technology transfers, mergers and acquisitions, and executive compensation plans, arising out of the work we have done in those areas.

  • Negotiation and documentation of a major gift to a local university
  • Representation of party exchanging an office building in downtown Los Angeles for a shopping center in Marina Del Rey, California under Internal Revenue Code Section 1031, which entailed the problems inherent in a complex real estate disposition, a shopping center acquisition, and the need for limited partnership approvals and observing fiduciary duties.
